Step 1 - Identify Target Opportunities

Identifying businesses that are target acquisition opportunities involves four stages: (1) Establishing the search criteria that clearly define the characteristics of a business you desire to acquire; (2) Compiling a database of companies that meet the search criteria; (3) Contacting the owners or decision makers at the target companies to determine if they have a bona fide intention to sell the company; and (4) Developing a shortlist of target opportunities.

Step 2 - Broker's Opinion of Value

For your preferred target opportunity, Sequoia will determine a Broker’s Opinion of Value. The Broker’s Opinion of Value is an opinion of the most probable selling price of the target business via an arm’s length transaction under current open market conditions

Step 3 - Quantify Target Strategic Value

Sequoia will obtain information from the preferred target opportunity regarding the business operations, marketing and sales analysis, human resources, financial information and other data. We will prepare a Confidential Prospectus that identifies the strategic value of the target in the context of your acquisition objectives.

Step 4 - Pursue Target Opportunity

When you decide to pursue the acquisition of a target opportunity, the process undertaken includes: (1) Preparing and presenting a letter of intent or offer to purchase and successfully negotiating an acceptable deal; and (2) Preparing a Request for Funding to source financing for the pending transaction.

Step 5 - Close the Deal

What matters is closing. Closing demands attention to 100% of the details. To get to closing Sequoia will: (1) Manage all aspects of the due diligence processs including obtaining all necessary company information to validate the transaction and to coordinate asset appraisals, final funding approvals, and the like; and (2) Coordinate the parties and their lawyers and intermediate on business matters that may arise during the drafting of the Definitive Agreement.
